Terms of Use

These Terms of Use (the “Terms”) are issued by the shop trading as “日貨小店” (the “Shop”). They govern your use of the Shop website (the “Website”) and your purchase of goods from the Shop. The Shop holds stock in Hong Kong and sells Japanese goods to Hong Kong customers, priced in Hong Kong dollars. This document is not legal advice.

By using the Website, opening an Account, checking out, paying, looking up an Order, uploading Payment proof, submitting a Review, or sending a Contact message, you agree to these Terms and the Privacy Policy then in force. If you do not agree, do not place an Order. Under section 17 of the Electronic Transactions Ordinance (Cap. 553), an offer and acceptance may be expressed by electronic records. Rights that Hong Kong law confers on consumers cannot be excluded by these Terms, including the implied conditions under the Sale of Goods Ordinance (Cap. 26) that goods correspond with description, are of merchantable quality and, where that Ordinance so provides, are reasonably fit for purpose; liability that the Control of Exemption Clauses Ordinance does not allow to be excluded (including death or personal injury resulting from negligence); and the mandatory operation of the Unconscionable Contracts Ordinance (Cap. 458) and the Trade Descriptions Ordinance (Cap. 362). If any part is unenforceable, the rest continues in effect.

1. The Shop and territory

The Shop is not a marketplace, buying agent, group-buy or Japan drop-shipper, and is not the official Hong Kong authorised retailer of the brands it sells. Goods are genuine Japan-market goods and may be parallel imports. Packaging, instructions and after-sales may differ from Hong Kong authorised stock. The Shop is intended for private consumption. If it reasonably considers an Order to be bulk resale, it may refuse it or cancel it while still unpaid. Delivery and Pickup are limited to Hong Kong (including outlying islands). Macau, Mainland China and overseas are out of scope. Time limits use Hong Kong time. Website content is an invitation to treat. An awaiting-payment Order is formed when created on the server. The obligation to supply arises only after the Shop records Paid. A catalogue or Cart is not a promise that the Shop must accept your offer.

2. Eligibility, Accounts and Guests

You must be at least eighteen, or a parent or guardian must order for you. A Guest may order by email and later look up the Order or upload Payment proof with the Order number plus that email. That combination is the Guest credential and must be kept safe. If it is disclosed through no negligence of the Shop, you bear the risk of another person looking it up. An Account (email and password; the same email is the same Account) stores an Address book, Bookmarks and order history. It is not required to place an Order. Deleting an Account does not delete Orders already created. The Shop may suspend an Account on reasonable grounds (including fraud, false Payment proof or serious breach). That does not affect non-excludable statutory rights, and does not excuse supply of Orders already Paid.

3. Website, catalogue, price and Stock

Use the Website only for lawful personal shopping. Do not scrape it at scale, interfere with it, impersonate others, or send payment passwords through a form. Catalogue stock and prices may lag. Checkout uses the server record. The sellable unit is the Variant. Sold-out goods are not promised to be restocked. Prices, shipping charges and descriptions not yet written into an Order snapshot may change. A compare-at (strikethrough) amount is marketing, not a separate contract term. The Shop is bound by the Trade Descriptions Ordinance, including false trade descriptions, misleading omissions, bait advertising, and accepting payment without reasonable grounds for believing it can supply. If stock is insufficient or the unit price does not match, checkout fails. A Cart does not reserve Stock. On sign-in, Guest and Account Carts merge by Variant.

Photographs are for reference. Colour, texture and size may vary slightly by screen, batch and manufacturer. A reasonable minor variation is not itself a failure to correspond with description, but that does not diminish merchantable quality or correspondence with material description. Japan-market goods may have Japanese-only labels. Sizing follows Japanese or brand conventions. Skincare and cosmetics must be used as labelled; they are not medicines. Unless you made a particular purpose known before ordering and the Shop accepted it, there is no extra promise as to that purpose. Electrical or electronic accessories, if any, may use Japanese voltage or plugs. You must confirm they are suitable for Hong Kong.

4. Checkout, snapshot and payment

Checkout creates the Order, assigns a short random Order number, writes the Order snapshot and reserves Stock in one transaction. The Order number is also the transfer reference. The snapshot is the payable truth and the record of goods, quantities, shipping method and address. Later price, image or Address-book changes do not alter an Order already formed. That Order’s contract is these Terms as at checkout, the snapshot, and the product description then shown on the Website. Social-media or oral statements outside the Website are not part of that Order unless written into the snapshot or amounting to a misrepresentation the law does not allow to be excluded.

The Shop accepts only FPS or bank transfer. The awaiting-payment page shows only the rail you selected. You may still pay by the other rail. The Shop matches by amount and Order number. Pay the full Hong Kong dollar amount on the snapshot and put the Order number on the transfer. Intermediary charges are yours. A screenshot only speeds matching; it does not mark Paid. The Shop need not ship until it has verified receipt. If awaiting payment lasts seventy-two hours with no payment recorded, the Order expires and Stock is released. You cannot cancel an Order yourself on the Website. An unpaid Order ends by expiry or by the Shop cancelling it. If after expiry the Variant is still in Stock, the Shop may still mark Paid. Do not submit false or unrelated Payment proof. If fraud is reasonably suspected, the Shop may refuse to mark Paid, cancel an unshipped Order, and refuse future dealings.

5. Title, risk, Delivery and Pickup

Title does not pass before the Shop records Paid. After Paid, title passes on delivery to you (arrival at the Hong Kong address you gave, or successful collection at Pickup). Until then risk stays with the Shop, except for loss from a wrong address, a Pickup point you cannot enter, late collection, or refusal without reasonable cause. A Paid Order may go to a Hong Kong address or SF Pickup. Delivery needs a recipient name, Hong Kong mobile number and address. Pickup records the chosen point on the snapshot. Do not choose a residents-only estate cabinet you cannot enter. Failure to collect within the carrier’s time limit, and resulting return or extra charges, is yours unless the Shop was at fault.

Shipping charges are those on the snapshot. The free-shipping threshold waives only the base fee, not a remote surcharge. The surcharge follows the Shop’s sub-districts aligned with SF Express remote areas. Pickup has no remote surcharge. The Shop does not guarantee a particular delivery date. Signal No. 8 or above, a Black Rainstorm Warning, carrier suspension or your absence extends time. That delay is not itself a breach, but the Shop must still perform within a reasonable time and must not keep money if it has no reasonable grounds for believing it can supply. Delay or extra cost from a wrong address or phone number you gave, or a Pickup point you cannot enter, is yours unless the Shop was at fault. The Shop may require reasonable extra costs. If you refuse, it may cancel and refund after deducting costs the law allows.

6. Inspection, change of mind and refunds

Inspect the goods within a reasonable time after delivery or collection. Under the Sale of Goods Ordinance, you do not lose the right to reject defective goods merely because you have received them, until you have had a reasonable opportunity to examine them. If goods fail to correspond with description in a material way, lack merchantable quality, or are unsafe, notify the Shop promptly via Contact us, with photographs and the Order number. Hong Kong law currently has no mandatory cooling-off period for ordinary online retail. The Shop has no in-site returns process and no obligation to accept a return for preference, a sizing choice you made, a reasonable screen-colour difference, a change of mind, or because you no longer want the goods, unless the law forbids exclusion. Unsealed, used, or poorly kept goods may, so far as the law allows, affect the remedy.

Refunds of money already received are processed outside the Website. The Website only marks Cancelled. Charges are not necessarily recoverable so far as the law allows. A refund is capped at the verified amount you paid for that Order, and may deduct costs the law allows. An unpaid expired Order need not be refunded. If after taking payment the Shop cannot supply part of the Order, it must refund that part. It must not substitute a materially different product without your agreement.

7. Promos, Reviews, intellectual property and personal data

A Promo code reduces merchandise subtotal only, not shipping or a remote surcharge. One per Order. It is counted at checkout, released if the Order expires or is cancelled while awaiting payment, and kept once Paid. Not redeemable for cash or transferable. Only a Product on a Paid Order may be reviewed by that Account, and only after approval. You grant the Shop a non-exclusive licence to display the Review on the Website and warrant that it is genuine and lawful. The Shop may refuse or remove a non-compliant Review. Intellectual property in the Website belongs to the Shop or its licensors. Browse for personal shopping; do not copy commercially or suggest an official authorised relationship with the brands shown. Personal data are handled under the Privacy Policy and the Personal Data (Privacy) Ordinance (Cap. 486).

8. Liability, changes and governing law

To the fullest extent permitted by law, the Shop’s total liability on any one Order is limited to the verified amount you paid for that Order. The Shop is not liable for loss of profit, data or goodwill, or for indirect or consequential loss, except: death or personal injury from the Shop’s negligence; fraud or fraudulent misrepresentation; liability to a consumer under sections 14 to 17 of the Sale of Goods Ordinance; and other liability that the Control of Exemption Clauses Ordinance or the Unconscionable Contracts Ordinance does not allow to be limited. For free browsing, the Shop is not liable, so far as the law allows, for temporary interruption. That does not affect supply under an Order already formed. You must indemnify the Shop against reasonable direct loss from your breach, false Payment proof, or infringement of others’ rights. That indemnity does not require you to cover the Shop’s liability to you for the Shop’s own negligence, unless the term is reasonable under that Ordinance.

If an event beyond the Shop’s reasonable control (including Signal No. 8 or above, a Black Rainstorm Warning, government restriction, a general carrier stoppage, fire, power failure or a supply interruption) prevents timely performance, time is extended. If the Shop then cannot supply, it must cancel the affected part and refund the corresponding amount paid. The Shop may revise these Terms. The new version applies to Orders formed after publication. An Order already formed stays on the Terms and snapshot as at checkout, except where the law requires otherwise. Failure to exercise a right is not a waiver. You may not assign without consent. The Shop may assign to a transferee of its business. A third party has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce these Terms. These Terms do not shorten limitation periods under the Limitation Ordinance (Cap. 347). Notice to the Order email is sufficient. These Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the non-exclusive jurisdiction of the courts and tribunals of Hong Kong, including the Small Claims Tribunal where it has jurisdiction.
